(b) On December 10, 2014, Peter A. Magowan announced his retirement from the Board of Directors (the “Board”) of Caterpillar Inc. (the “Company”) and the Audit Committee of the Company’s Board, effective December 31, 2014. The retirement is the result of Mr. Magowan reaching the Company’s mandatory retirement age for directors as provided in the Company’s Guidelines on Corporate Governance Issues and not as a result of any disagreement with the Company.
