Changes in Registrant's Certifying Accountants ---------------------------------------------- (a) Termination of previous independent accountants. (i) On May 20, 2002, the Audit Committee of the Board of Directors of IEC Electronics Corp. (the "Company") approved the dismissal of the Company's independent public accountants, Arthur Andersen LLP ("Andersen"). (ii) The reports of Andersen on the financial statements of the Company for the past two fiscal years contained no adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principle, except that in its report with respect to the financial statements of the Company for the fiscal year ended September 30, 2001 and September 30, 2000, Andersen stated: "The accompanying financial statements have been prepared assuming that the Company will continue as a going concern. As discussed in Note 1 to the financial statements, the Company has suffered recurring losses from operations and its debt is due on February 15, 2002, which raises substantial doubt about its ability to continue as a going concern. Management's plans in regard to these matters are described in Note 1. The financial statements do not include any adjustments that might result from the outcome of this uncertainty." (iii) During the two most recent fiscal years and through February 11, 2002, there have been no disagreements between the Company and Andersen on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Andersen, would have caused Andersen to make reference to the subject matter thereof in its report on the Company's financial statements for such periods. (iv) During the two most recent fiscal years and through February 11, 2002, there have been no reportable events (as defined in Item 304(a)(1)(v) of Regulation S-K). (v) At the request of the Company, Andersen furnished a letter addressed to the Securities and Exchange Commission stating that it agrees with the above statements. A copy of such letter, dated May 24, 2002, is filed as Exhibit 16.1 to this Form 8-K. (b) Engagement of new independent accountants.
