ITEM 2.02   Results of Operations and Financial Condition.
 
On February 9, 2010, EMCORE Corporation (the “Registrant”) issued a press release disclosing its unaudited financial results for the first quarter of fiscal 2010 ended December 31, 2009.  A copy of this press release is attached as Exhibit 99.1 to this Current Report.
