Item 8.01. Other Events.

On February 24, 2010, EMCORE Corporation (the "Company") received a letter from the Securities and Exchange Commission's Division of Enforcement dated February 2, 2010 (the "Letter"), stating that the staff has completed its investigation of EMCORE Corporation that the Company had disclosed in its Form 10-K filed for its fiscal year ended September 30, 2009.   The Letter further advised the Company that the staff of the Division of Enforcement does not intend to recommend any enforcement action against the Company.
