* Cerberus Partners, L.P. ("Cerberus") is the holder of 128,021 shares of common
stock,  par value $0.01 per share (the "Shares"),  of Assisted Living  Concepts,
Inc. (the "Company"),  Cerberus  International,  Ltd.  ("International")  is the
holder of 325,911 Shares, Cerberus Institutional,  Ltd. ("Institutional") is the
holder of 123,146 Shares and certain private  investment  funds (the "Funds") in
the aggregate are the holders of 102,243 Shares. Stephen Feinberg possesses sole
power to vote and direct the  disposition of all securities of the Company owned
by each of Cerberus,  International,  Institutional  and the Funds.  Thus, as of
November 17, 2004, for the purposes of Reg. Section 240.13d-3,  Stephen Feinberg
is deemed to  beneficially  own 679,321  Shares,  or 10.5% of the Shares  deemed
issued and outstanding as of that date.






Item 5.   Interest in Securities of the Issuer.
          ------------------------------------

          Based upon information set forth in the Company's  Quarterly Report on
Form 10-Q for the quarterly  period ended  September 30, 2004, as of November 5,
2004 there were issued and  outstanding  6,491,164  Shares.  As of November  17,
2004,  Cerberus is the holder of 128,021 Shares,  International is the holder of
325,911 Shares,  Institutional  is the holder of 123,146 Shares and the Funds in
the aggregate are the holders of 102,243 Shares. Stephen Feinberg possesses sole
power to vote and direct the  disposition of all securities of the Company owned
by each of Cerberus,  International,  Institutional  and the Funds.  Thus, as of
November 17, 2004, for the purposes of Reg. Section 240.13d-3,  Stephen Feinberg
is deemed to  beneficially  own 679,321  Shares,  or 10.5% of the Shares  deemed
issued and outstanding as of that date.

          The only  transactions  in Shares,  or  securities  convertible  into,
exercisable  for or  exchangeable  for Shares,  by Mr. Feinberg or any person or
entity  controlled by him or any person or entity for which he possesses  voting
or  investment  control  over the  securities  thereof  since the  filing of the
Schedule 13D Amendment No. 3 by Mr. Feinberg dated as of November 16, 2004, were
the sales of Shares  detailed in the table below (each of which were effected in
an ordinary brokerage transaction):
