(b)       On November 17, 2006, Edison International received written notice that, effective November 13, 2006, Bruce Karatz resigned as a director of Edison International.  Mr.
Karatz's resignation from Edison International's Board of Directors did not involve any disagreement on any
matter relating to Edison International's operations, policies or practices.
