Item 8.01. Other Events

     On June 27, 2008, Elite Pharmaceuticals, Inc., a Delaware corporation (the “Registrant”), filed its Annual Report on Form 10-K (the “Form 10-K”). On July 8, 2008 the Registrant issued a press release announcing its financial results for the fiscal year ended March 31, 2008 as set forth in the Form 10-K. Additionally, the press release stated certain strategic initiatives that the Registrant’s management team had begun to implement to improve the Registrant’s financial performance, strengthen its product development and manufacturing capabilities, and position its businesses to capture growth opportunities in the pharmaceutical marketplace.

A copy of the Press Release is attached hereto as Exhibit 99.1.
