Registrants Board of Directors and Voting Shareholders on October 26, 2011 approved the 2008 Omnibus Incentive Plan Restatement No. 4, a copy of which is filed herewith as Exhibit 10.1. The 2008 Omnibus Incentive Plan provides for the grant of stock-based incentives to employees of Eaton Vance Corp. (the Company), including its Officers, as well as annual formula grants to certain members of the Companys Board of Directors who qualify as non-employee directors. This description of the 2008 Omnibus Incentive Plan is qualified in its entirety by the actual plan document, which is filed as an Exhibit to this Current Report on Form 8-K.
Registrants Board of Directors and Voting Shareholders on October 26, 2011 approved the Eaton Vance Corp. Executive Performance-Based Compensation Plan Restatement No. 2, a copy of which is filed herewith as Exhibit 10.2. The Eaton Vance Corp. Executive Performance-Based Compensation Plan provides for incentive compensation to key executives of the Company or any subsidiary thereof subject to the satisfaction of performance conditions. This description of the Eaton Vance Corp. Executive Performance-Based Compensation Plan is qualified in its entirety by the actual plan document, which is filed as an Exhibit to this Current Report on Form 8-K.
