This Amendment No. 6 (“Amendment No. 6”) amends and supplements the Schedule 14D-9 (the “Schedule 14D-9”) initially filed by Gold Fields with the Securities and Exchange Commission (the “SEC”) on November 3, 2004, as amended, relating to the Offer. Except as otherwise defined herein, capitalized terms shall have the meaning given to them in the Schedule 14D-9.

This Amendment No. 6 amends and supplements Item 8 as follows:

ITEM 8.     ADDITIONAL INFORMATION TO BE FURNISHED

Legal Proceedings

The South African Securities Regulation Panel (the “SRP”) has agreed to a re-hearing on November 19, 2004 before the full panel of the SRP regarding allegations made by Gold Fields relating to Harmony and MMC Norilsk Nickel acting as “concert parties” under the South African Securities Regulation Code on Takeovers and Mergers.

The High Court of South Africa, Witwatersrand Local Division, has granted Gold Fields leave to appeal the earlier decision in respect of Gold Fields’ prospectus claim against Harmony. No date for the appeal hearing has yet been set.

Shareholder Communications

Gold Fields placed an advertisement in Business Day, a South African publication, on November 15, 2004. A copy of the advertisement has been filed herewith as Exhibit 99.(a)(42).

On November 16, 2004, Gold Fields made the following public communications:

  •   Gold Fields issued a press release noting the decline in the price of Gold Fields and Harmony shares since the launch of the Offer. A copy of the press release is filed herewith as Exhibit 99.(a)(43) and is incorporated herein by this reference.
 
  •   Chris Thompson, Chairman of Gold Fields, sent a letter to Gold Fields shareholders. A copy of the letter has been filed herewith as Exhibit 99.(a)(44) and is hereby incorporated herein by this reference.
 
  •   Ian Cockerill, Chief Executive Officer of Gold Fields, made an address to shareholders at Gold Fields’ Annual General Meeting. A transcript of that address has been filed herewith as Exhibit 99.(a)(45) and is hereby incorporated herein by this reference.
 
  •   Gold Fields issued a press release regarding the address given by Ian Cockerill to shareholders at Gold Fields’ Annual General Meeting. A copy of the press release is filed herewith as Exhibit 99.(a)(46) and is incorporated herein by this reference.
 
  •   Gold Fields issued a press release reporting the results of the Gold Fields Board at the Gold Fields Annual General Meeting. A copy of the press release is filed herewith as Exhibit 99.(a)(47) and is incorporated herein by this reference.
 
  •   Gold Fields placed an advertisement in Business Day on November 16, 2004. A copy of the advertisement has been filed herewith as Exhibit 99.(a)(48) and is hereby incorporated herein by this reference.
