     Item 8.01 — Other Events

     On August 17, 2010, Life Technologies Corporation, a Delaware corporation (the “Company”) issued a press release with respect to the execution of a definitive agreement to acquire Ion Torrent Systems Incorporated, a Delaware corporation (“Ion”) for $375 million in cash and stock. In addition, the sellers of Ion are entitled to additional consideration of up to $350 million in cash and stock upon the achievement of certain time-based and technical milestones through 2012. A copy of the press release announcing the execution of the definitive agreement is attached hereto as Exhibit 99.1 and is also available on the Investor Relations section of the Company’s website.
