Item 1.01. Entry into a Material Definitive Agreement
On October 11, 2010, Assisted Living Concepts, Inc. (“ALC”) and a wholly owned subsidiary of ALC, ALF Partners, L.P., entered into a Purchase and Sale Agreement and Joint Escrow Instructions (the “Purchase Agreement”) for the purchase of nine senior living residences from HCP, Inc. (“HCP”) and two affiliates of HCP, Texas HCP Holding, L.P. and Texas HCP Seven Holding, L.P. The transaction is subject to customary closing conditions and is expected to close on or around October 31, 2010. The nine residences are currently leased and operated by ALC under leases that expire between 2010 and 2012. The purchase price is $27.5 million plus certain transaction costs. The nine residences, two of which are in New Jersey and seven in Texas, contain a total of 365 units.
