Proposals to be considered at the Annual Meeting: (1) Elect ten directors, each to serve for a one-year term; (2) Ratify the appointment of Ernst & Young LLP as KB Home’s independent registered public accounting firm for the fiscal year ending November 30, 2011; (3) Approve an amendment to the KB Home 2010 Equity Incentive Plan; (4) Advisory vote to approve named executive officer compensation; (5) Advisory vote on the frequency of an advisory vote to approve named executive officer compensation; and (6) Any other business that may properly come before the meeting or any adjournment or postponement of the meeting.
