Item 5.03.        Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

     On December 30, 2005, PHI, Inc. (the “Company”) issued a press release announcing that it has changed its name from “Petroleum Helicopters, Inc.” to “PHI, Inc.” The Company filed Articles of Amendment to its Articles of Incorporation with the Louisiana Secretary of State on January 3, 2006, and the name change became effective as of 12:01 a.m. (Central Standard Time) on January 1, 2006. As a result of this change, effective January 3, 2006, the Company’s voting and non-voting common stock began trading on the Nasdaq National Market under the stock ticker symbols “PHII” and “PHIIK,” respectively. A copy of the Articles of Amendment and the Press Release are attached hereto as Exhibit 3.1 and Exhibit 99.1, respectively, and incorporated herein by reference.
