(the “Registrant”) on September 22, 2006 (File No. 333-137546), relating to shares of the Registrant’s common stock issuable pursuant to the Gerber Scientific, Inc. 2006 Omnibus Incentive Plan (as amended and restated, the “Stock Incentive Plan”).
