ITEM 7.01 REGULATION FD DISCLOSURE

On June 8, 2005, Ashford Hospitality Trust, Inc. (the “Company”) provided an online audio simulcast of its panel presentation to the investment community at the 2005 NAREIT Institutional Investor Forum in New York City (“NAREIT Conference”).

On June 8, 2005, the Company filed an 8-K which furnished the Powerpoint slideshow presented at the NAREIT Conference.

In addition, on June 8, 2005, the Company made certain statements at the NAREIT Conference which accompanied the Powerpoint slideshow. This transcript and related Q&A is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
