ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

     On February 14, 2008, the Employment Agreement, dated as of the 11^th day of October, 1989 (the “Agreement”), between United States Lime & Minerals, Inc. (the “Company”) and the Company’s Senior Vice President — Sales & Marketing, Bill Hughes, was amended (the “Amendment”). Pursuant to the Amendment, Mr. Hughes was reassigned and named Senior Vice President — Development and the term of the Agreement was modified to continue until February 1, 2009.
