Item 5.02(e).   DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
     On December 31, 2008, Ashford Hospitality Trust, Inc., a Maryland corporation (the “Company”) amended its Nonqualified Deferred Compensation Plan (the “Plan”) by executing a First Amendment to such Plan (the “Amendment”).
     Pursuant to the Amendment, eligible employees, which include executive officers of the Company, may now elect to defer “other amounts” in addition to salary, bonus and restricted stock awards, at such time and in such manner as the compensation committee provides in accordance with Section 409A of the Internal Revenue Code of 1986, as amended. Additionally, the Amendment allows the Company to pay each participant’s account in a single lump sum payment if the participant incurs a disability.
