(e) Compensatory Arrangements of Certain Officers
          On April 16, 2009, the compensation committee of the board of directors of Ashford Hospitality Trust, Inc. (the “Company”) determined that to more closely align the common stock investment option under the Amended and Restated Ashford Hospitality Trust, Inc. Nonqualified Deferred Compensation Plan (the “Plan”) with an actual investment in the Company’s common stock, the Company will pay dividend equivalents to Plan participants who elect the Company common stock investment option. The dividend equivalents will be equal to dividends, if any, paid with respect to issued and outstanding common stock and any such dividends equivalents will be accrued as additional shares of common stock payable to Plan participants at the time distributions are made from the Plan.
