     On May 4, 2009, Texas Capital Bancshares, Inc. issued a press release announcing that it has commenced a public offering of 3.5 million shares of its common stock for sale to the public. The shares will be issued pursuant to a prospectus supplement filed as part of an existing shelf registration statement filed with the Securities and Exchange Commission on Form S-3.
     A copy of the press release is included as exhibit 99.1 to this report.
