ITEM 5.02.    DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
     As previously announced in September 2006, the Board of Directors of The TJX Companies, Inc. elected Carol Meyrowitz as Chief Executive Officer of TJX, effective January 28, 2007. She will continue serving as President and a Director of TJX. Also as previously announced, Bernard Cammarata resigned as Acting Chief Executive Officer of TJX on January 27, 2007, and will continue serving as Chairman of the Board and a Director.
     Alexander W. Smith, Senior Executive Vice President, Group President, resigned on January 29, 2007.
     Gary L. Crittenden resigned as a Director on January 24, 2007.
