Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 25, 2007, the Board of Directors of AGCO Corporation (the “Company”) amended Article V of the Company’s Amended and Restated By-Laws, effective as of October 25, 2007, to better allow for the issuance of uncertificated shares of the Company’s stock and thereby facilitate the Company’s participation in the Direct Registration System, which is the book-entry only system administered by The Depository Trust Company.

The full text of the Amended and Restated By-laws of the Company, amended as described above, is filed as Exhibit 3.1 to this Form 8-K and is incorporated herein by this reference.
