Item 1.      Security and Issuer
     This Amendment No. 1 to Schedule 13D relates to the common stock, par value $0.10 per share (the “Common Stock”) of Unifi, Inc., a New York corporation (the “Issuer”).
Item 5 of the Schedule 13D is hereby amended as follows:
Item 5.      Interest in Securities of the Issuer
     (a) As of the close of business on December 31, 2008, the Reporting Person beneficially owned 5,555,555 shares, constituting approximately 8.95% of the shares outstanding of Common Stock of the Issuer. The percentage of Common Stock of the Issuer beneficially owned by the Reporting Person is based upon 62,057,300 shares outstanding, which is the total number of shares outstanding as of November 3, 2008 as reported in the Issuer’s Quarterly Report on Form 10-Q for the period ended September 28, 2008, filed with the Securities and Exchange Commission on November 7, 2008.
