Item 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On January 24, 2005, The Lamson & Sessions Co. issued a press release updating
its earnings estimates for the fourth quarter and full year 2004 and providing
guidance for the first quarter and full year 2005. A copy of such press
release is included as Exhibit 99.1 hereto and incorporated herein by reference.
