Subject: Year-end message from Christian Bruch


Dear colleagues,

An eventful 2016 for Linde Engineering will soon come to an end. Thanks to your dedication, this year we were able to win important contracts, open 50 construction sites and put more than 40 plants into operation. I would like to sincerely thank you for your commitment, loyalty and flexibility which have made these successes possible.

At the same time, we are faced with a challenging market environment. Our customers are still hesitant to make investment decisions and the competition for contracts has increased significantly over recent years. With the update of the LE strategy, we have set the focus that will enable us to continue to be successful in the future. We will improve our competitiveness with the initiated measures, update our portfolio and sharpen the profile of Linde Engineering in the eyes of our customers. In addition, we intend to make even greater use of the possibilities offered by digitalisation. Together with our contribution to the Group-wide LIFT efficiency programme, these initiatives will help to ensure Linde Engineering’s profitability in a difficult environment during the coming years.

Yesterday we informed you that we agreed with Praxair on a non-binding term sheet for a potential merger of equals, which will now form the basis for further negotiations. The opportunity here is to create a leading gas company that can work with a broader global focus and a strong financial position, and is stronger than the two individual companies by themselves. Linde Engineering could also benefit from the expanded market access and the improved competitive position in the gases sector.

We intend to carve out our Engineering Division into a wholly-owned subsidiary of Linde which will give us a chance to strengthen our established global brand and our solid position as the preferred supplier for Linde Gas. The successful implementation of our efficiency programme will not only help to safeguard the best possible position in the negotiations, but to secure our competitiveness in the long run.

I understand that this phase of change can lead to uncertainty that can also preoccupy you during your day-to-day work. A lot of concern has arisen over the last several months due to the discussions in connection with the efficiency programme, the potential merger with Praxair and external press coverage for which I would like to personally apologise. But these changes are necessary and will help to sustainably strengthen Linde Engineering's position. We can face the competition with confidence because we have outstanding professional competence, excellent processes and a dedicated team. Even if the market situation is difficult – and this will remain to be the case in the foreseeable future – we can and will continue to celebrate successes together.

With your support and daily commitment, together we can once again do everything possible to make our company a market leader in 2017. I look forward to working with you in the new year, and wish you all peaceful holidays with family and friends.

Should Praxair, Inc.
