Other Events. Terex Corporation (the "Company" or "Terex") issued a press release dated November 25, 2003 announcing that it has completed the issuance of $300,000,000 principal amount of 7.375% Senior Subordinated Notes due 2014 (the "Notes") and that it has amended its existing bank credit facility. Terex used $100,000,000 of the proceeds from the issuance of the Notes and $100,000,000 of cash on hand to prepay existing bank term loans. The Company also announced that it will redeem the remaining $200,000,000 in principal amount of its 8.875% Senior Subordinated Notes due 2008 with the remaining proceeds from the issuance of the Notes and cash on hand. The date for redemption of the 8.875% Senior Subordinated Notes has been set for December 26, 2003. A copy of this press release is included as Exhibit 99.1 to this Form 8-K. Item 7.
