ACCO Brands Corporation Holds 2008 Annual Meeting of Stockholders; Gordon R. Lohman Retires from Board

ACCO Brands Corporation (NYSE:ABD), a world leader in select categories of branded office products, today held its 2008 Annual Meeting of Stockholders.

At the meeting, stockholders approved an amendment to the companys Restated Certificate of Incorporation to progressively eliminate the classification of its board of directors beginning at todays Annual Meeting. With the approval of this amendment, all seats on the Board of Directors will be up for election and all nominees elected for one-year terms at each Annual Meeting beginning in 2010.

The stockholders re-elected three Class III directors to its board for a one-year term expiring at the 2009 Annual Meeting. The re-elected directors are Robert H. Jenkins, Robert J. Keller, and Norman H. Wesley.

In addition, stockholders approved an amendment to the companys Amended and Restated 2005 Inventive Plan to increase the number of shares of common stock authorized for issuance under that plan.

Finally, stockholders ratified the appointment of PricewaterhouseCoopers LLP as the companys independent registered public accounting firm for 2008.

The company also announced that Gordon R. Lohman will retire from its board as of the close of business on May 14, 2008. Mr. Lohman has reached the boards mandatory retirement age. Mr. Lohman has been the chairman of the Corporate Governance and Nominating Committee, and a member of the boards Compensation Committee. The company made no announcement with respect to a successor for Mr. Lohman on its board.
